Agreement to these terms
These terms are between you and SafeBlockLab. By using this website you agree to them. If you do not, please do not use the site.
If you are agreeing on behalf of a company, you are confirming you have the authority to bind it, and "you" means that company.
Our handling of personal data is set out in the Privacy Policy, which forms part of these terms.
What we provide
SafeBlockLab is a full-stack engineering studio. We design, build, secure and operate software — AI, backend, frontend, infrastructure and the work that joins them together.
This website describes that work. It is marketing material and general information, not advice you should act on without talking to us. Nothing on it is an offer capable of acceptance, and nothing on it creates a professional relationship on its own.
The assistant on this site can help you describe a project and produce an indicative estimate. An estimate produced that way is a starting point for a conversation. It is not a quote, it is not binding on either of us, and it does not survive contact with a real scope.
Engagements and statements of work
Work begins when both sides sign a statement of work. That document sets out the scope, the deliverables, the timetable, the fees and anything specific to the engagement.
Where a signed statement of work says something different from this page, the statement of work wins. This page is a summary of how we normally work; it is not the contract for your project.
Changes to an agreed scope are handled in writing before they are built, with any effect on fees or timetable stated at the same time. Software work moves, and we would rather it moved on the record.
Delivery depends on you too — access, environments, credentials, review, decisions. Where something we need is late, dates move by at least as much, and we will say so at the time rather than at the end.
Fees and payment
Fees, the currency and the invoicing schedule are set in the statement of work. Unless it says otherwise:
- Payment is usually made in advance: each milestone, week or month is paid before the work on it starts. The statement of work can agree a different arrangement.
- Fees are exclusive of VAT and any other applicable tax, which is added where it applies.
- Third-party costs incurred on your behalf — licences, hosting, services — are passed through at cost, and agreed with you before they are incurred.
- We may charge statutory interest on amounts that are overdue, and may pause work on an engagement while an undisputed invoice remains unpaid.
If you dispute an invoice, tell us within 14 days and pay the part you do not dispute. We will deal with the rest.
Intellectual property
On full payment of the fees for an engagement, the deliverables we built specifically for you under that engagement are yours. We assign them to you, and the statement of work records exactly what is covered.
Three things sit outside that assignment:
- Our pre-existing materials — tooling, libraries, patterns and know-how we brought to the work. You get a perpetual, non-exclusive licence to use them as part of your deliverables, and we keep the right to go on using them elsewhere.
- Third-party and open-source components, which stay under their own licences. We will tell you which ones a deliverable depends on.
- General skill and experience. We do not unlearn how to build something because we built it for you.
This website's own content, design and code — including the SafeBlockLab name and logo — belong to us. You may read, link to and quote from the site with attribution. Copying it wholesale to build a competing site is not covered by that.
Confidentiality
Each side keeps the other's confidential information confidential, uses it only for the engagement, and shares it only with the people who need it and are under the same obligation.
This does not cover information that is already public, that the receiving side already had or worked out independently, or that must be disclosed by law — and where the law compels disclosure, we tell you first if we are allowed to.
We do not name you as a client, describe your project or show the work publicly without your written permission. If you would like us to, that is a conversation worth having, and it is still your decision.
Acceptable use of this site
Use the site for what it is for. Do not:
- Attempt to gain unauthorised access to the site, its infrastructure or anything connected to it.
- Probe, scan or test its security without our written permission — if you want to, write to us and ask.
- Interfere with its availability, including by automated traffic that a reasonable person would call an attack.
- Use the contact form or the assistant to send unlawful, abusive, deceptive or unsolicited commercial content.
- Scrape the site at a rate or scale that degrades it for anyone else.
We may block access where any of this is happening. Reporting a genuine vulnerability in good faith is not a breach of these terms, and we would much rather hear from you than not.
Third-party services
The site links to other sites, and our work often depends on services we do not control — cloud platforms, package registries, model providers, payment processors. We choose them carefully. We do not control them, we are not responsible for their content or availability, and their terms are between you and them.
Where an engagement depends on a third-party service, the statement of work says so, and any licence or subscription you need is yours to hold unless we have agreed otherwise in writing.
Disclaimers
We provide our services with reasonable care and skill, by people who know how to do the work.
This website itself is provided as it is. We do not warrant that it will be uninterrupted, error-free, or that the information on it is complete or current. Estimates, figures and examples on the site are illustrative.
To the extent the law allows, we exclude implied warranties in relation to the website. Nothing in these terms excludes anything that cannot lawfully be excluded, and if you are dealing with us as a consumer, your statutory rights are unaffected.
Limitation of liability
Neither side limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
Subject to that, and to the extent the law allows:
- Neither side is liable for indirect or consequential loss, loss of profit, loss of revenue, loss of anticipated savings, loss of business or loss of goodwill.
- Our total liability arising out of an engagement is limited to the fees you paid us for that engagement in the twelve months before the claim arose.
- Our total liability arising out of your use of this website, where there is no engagement, is limited to €100.
A statement of work may set a different cap for a particular engagement. Where it does, that cap applies instead of this one.
Termination
Either side may end an engagement on the notice set out in the statement of work, or immediately if the other side commits a material breach and does not fix it within 30 days of being asked to in writing.
On termination you pay for work done and costs committed up to that point. We hand over the deliverables covered by fees you have paid, along with the access and credentials needed to run them. We would rather leave a project in a state someone else can pick up than hold it hostage.
Confidentiality, intellectual property, liability and governing law survive the end of an engagement.
Governing law and changes
These terms are governed by the laws of Estonia. Nothing in these terms limits any mandatory consumer protections or rights to bring proceedings that apply under law.
We may update these terms. The effective date at the top of the page is the date of the version you are reading, and the version in force for an engagement is the one in place when its statement of work was signed.
If any part of these terms turns out to be unenforceable, the rest stays in force. Questions go to contact@safeblocklab.com.
